SOUNDPIX, INC. 2004 MOTHER'S DAY CONTEST RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. SoundPix, Inc. 2004 Mother's Day Contest ("Contest") and these Official Rules are governed, construed and interpreted under the laws of the United States. Valid only to legal United States residents (excluding Puerto Rico, US Virgin Islands and Guam) who are eighteen (18) years of age and older at time of entry. All federal, state, local laws and regulations apply. Void where prohibited, taxed, licensed or restricted by law.

CONTEST PERIOD. This Contest begins at 8:00 am (PST) on April 5, 2004, and ends at 11:59 pm (PST) on May 5, 2004. ("Contest Period").

CONTEST SPONSOR. This Contest is sponsored and administered by SoundPix, Inc., 800 Southwood Boulevard, Suite 212, Incline Village, NV  89451. Participants agree to be bound by these Official Rules and the final decision of Sponsor.

CONTEST ENTRIES:  Enter the Contest by accessing www.soundpix.com during the Contest Period and clicking on the designated icon to go to the Contest. Follow the on-screen instructions. All entries shall be made by email to the Sponsor and are deemed made by the email account holder whose email address is on the entry.

ALL ENTRIES MUST BE RECEIVED NO LATER THAN 11:59AM (EST) May 5, 2004.

Copyrights / OWNERSHIP.  By entering the Contest, participant affirms that his/her entry is of his/her own original creation, neither copied nor duplicated from previously published art, including paintings, drawings in any medium, or published photographs.  Participant agrees that minor changes in his/her SoundPix Sample including addition of a background color or sound, may be made by the final layout designer of Sponsor.

Participant’s SoundPix Sample will be posted on Sponsor’s website and will remain on display with other entries during the Contest Period and for a period of six months thereafter.  Participant grants Sponsor a royalty-free right and license to print, copy, reproduce, publish, display, distribute and otherwise use participant’s SoundPix Sample for purposes of the Contest, including promoting Sponsor and its products.

Participant shall retain ownership of his/her original artwork.

SELECTION. Winners will be selected from all completed entries received. The winner will be selected on or about May 5, 2004. Odds of being selected are determined by the number of eligible entries received during the Contest Period. All entries and their content become property of Sponsor and will not be returned. All entries submitted will be used for the purpose of selecting the prizewinner as described in these Official Rules.

If a prospective prizewinner is found ineligible or fails to comply with these Official Rules, his/her claim to a prize is forfeited and an alternate entry will be selected.

PRIZES. One prize of winners choice of a HP Photosmart 435 Digital Camera or 512MB Memory Card, no cash value. We reserve the right to substitute prize with one of equal or lesser value. Submissions will be judged on creativity, production and the ability to truly capture the heartfelt meaning of Mother’s Day. The prizewinner will be notified by e-mail on or about May 5, 2004. The prizewinner must sign and return an affidavit of eligibility and liability/publicity release within ten (10) days of notification.

A disqualification will result and an alternate winner will be selected if a prize notification is refused. There is no substitution for any prize or portion thereof. The prize is not transferable, assignable or redeemable for cash. The prizewinners will be fully responsible for any and all federal, state and local taxes.

GENERAL CONDITIONS. Sponsor, Internet, Product and Service Providers and their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, agents, independent contractors and advertising and promotion agencies make no warranties, express or implied.

Employees and their immediate families of Sponsor, Internet, Product and Service Providers, and their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, agents, independent contractors and advertising and promotion agencies are not eligible to enter this Contest.

A PRIVACY STATEMENT. Participant’s personal information, in conjunction with this Contest, will be utilized by Sponsor for the sole purpose of selecting the prizewinners and will be kept only as long as required by law. Unless otherwise authorized by participant, participant’s information will not be sold, rented or given to any other third party. Notwithstanding the privacy statement and policy, if selected as a prizewinner, prizewinner agrees, except where prohibited, to grant Sponsor and its parent companies, subsidiaries, franchisees, affiliates, licensees and agents to use his/her name, entry contents, visual and audio likeness, biographical data and statements for any purpose, including but not limited to any commercial or publicity purpose, in perpetuity and throughout the world, in any and all media now known or hereafter devised, without additional compensation or consideration.

LIMITATIONS OF LIABILITY. By entering, participants, their agents, assigns and successors release Sponsor, Internet, Product and Service Providers, and their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, agents, independent contractors and advertising and promotion agencies from any and all liability for any costs or expenses resulting from entry in the Contest and from any and all liability whatsoever, including, without limitation, for any injuries, losses or damages of any kind caused by or in connection with any prize or resulting from acceptance, possession, quality, use or misuse of any prize, or any portion of the prize, or parts thereof. All entrants further agree that in the event of any third party claims, damages, losses, injuries or death arising from or relating to the Contest, including claims of infringement by participant’s SoundPix Sample of another’s intellectual property right(s), and winner’s use of the prize, they will indemnify Sponsor from any and all such claims, including attorney’s fees related thereto.

Sponsor, Internet, Product and Service Providers, and their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, agents, independent contractors and advertising and promotion agencies are not responsible for any kind of computer transmission, electronic, hardware, internet, software, network, technical or telephone failures and any damaged, delayed, garbled, illegible, incomplete, late, lost, misplaced, misaddressed, misdirected or stolen e-mail.

Participant agrees that by entering this Contest, Sponsor may seek damages from participant if participant deliberately damages the Sponsor’s website or any other website in conjunction with participant’s partaking in this Contest or if participant interferes with the legitimate operation of this Contest, it is in violation of civil or criminal law.

If, in Sponsor’s exclusive judgment, this Contest becomes compromised in any way, Sponsor reserves the right to withdraw or suspend the Contest offer, cancel any method of entry and/or select the prizewinner(s) from all eligible entries received prior to the withdrawal.

DISPUTES. THIS CONTEST IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF NEVADA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Washoe County, Nevada, having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, including reasonable attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and participant further waives all rights to have damages multiplied or increased.

WINNERS LIST. For a printed copy of the Official Rules or a Winners List, send a self-addressed, stamped envelope to SoundPix, Inc. 2004 Mother's Day Contest (indicate which) at the same address above. Winners List replies will be sent after completion of the Contest.
